Terms of Service

The legal text on these pages is in English.

Last updated: October 27, 2026. Effective date: October 27, 2026.

1. Agreement

These Terms of Service ("Terms") are an agreement between you and Fluentix LLC, a Colorado limited liability company (Colorado ID 20258291820) ("Fluentix", "we", "us"). They govern your use of fluentix.ai and the Fluentix apps (the "Service").

By creating an account, signing in, or using the Service, you accept these Terms and the policies linked from them: the Privacy Policy, Acceptable Use Policy, Academic Integrity Policy, and AI Use and Transparency Policy. If you accept on behalf of a school, college, university, or other organization ("School"), you confirm that you are authorized to do so.

School agreements take priority. If a School has signed an order form or data-processing agreement with Fluentix ("School Agreement"), the School Agreement controls where it conflicts with these Terms.

Section 17 is an individual arbitration agreement and a class-action waiver. It does not bind a user under 18. A new user who is 18 or older may opt out within 30 days (Section 17.8). It does not apply where the law does not allow it.

2. Who may use the Service

  • Minimum age: 14. Nobody under 14 may create or use an account, including an account created by a School. We ask for a date of birth at sign-up and refuse anyone under 14.
  • Ages 14 to 17: you may use the Service only if a parent or legal guardian agrees to these Terms for you, or your School has provided the account for educational use. A parent or guardian who agrees is responsible for the minor's use and for any purchase.
  • Schools confirm that every student they enroll is at least 14.
  • If we learn that an account belongs to someone under 14, we close it and delete its information.
  • You may not use the Service if the law prohibits it, or if we have previously terminated your account.

3. Accounts

Give accurate information, including your real date of birth, and keep your sign-in details secure. You are responsible for activity on your account. Tell us at support@fluentix.ai if you suspect unauthorized access. Teachers and School administrators are responsible for accounts they create and for keeping class and license codes private.

4. Plans and payment

Individual plans, school prices, and teacher plans are the prices shown at www.fluentix.ai/pricing. A Semester Pass is four months of Tutor Plus. Payments are processed by Stripe. "Unlimited" or similar wording is subject to the limits shown at www.fluentix.ai/pricing.

5. Your content and voice recordings

"Your Content" means what you submit: voice recordings, transcripts, typed messages, assignments, and similar material.

  • You, or your School, own Your Content.
  • You give Fluentix a limited, non-exclusive license to host, copy, process, transcribe, and display Your Content only to provide, secure, and support the Service, and as the Privacy Policy describes. The license ends when Your Content is deleted, except for copies in backups until those backups expire.
  • We do not use student content to train models, and we do not authorize a provider to use it for that purpose.
  • You confirm that you have the rights needed to submit Your Content and that it does not infringe anyone's rights.

6. AI features

  • The Service uses models to generate conversation, feedback, and practice scores. Output can be wrong, incomplete, or inconsistent.
  • Scores and feedback are practice estimates. They are not official scores and do not predict a result on any exam. Where the Service is used in grading, the teacher's judgment is final.
  • You are interacting with an AI, not a person. Tutor characters are fictional.
  • Do not rely on the AI for medical, legal, mental-health, safety, or other professional advice. If you are in crisis, contact local emergency services. In the United States, call or text 988.
  • AP is a trademark of the College Board. IB is a trademark of the International Baccalaureate Organization. Neither endorses Fluentix.

7. Acceptable use and academic integrity

You must follow the Acceptable Use Policy and the Academic Integrity Policy. We may remove content or suspend accounts that break them. Where practical, we tell you, or your School, first.

8. Our intellectual property

The Service, including its software, design, tutor characters, and branding, belongs to Fluentix or its licensors. We give you a limited, non-exclusive, non-transferable, revocable right to use the Service for its educational purpose while these Terms apply. Feedback you send may be used without obligation to you. Copyright complaints: email support@fluentix.ai.

9. Third-party services

The Service may use third-party providers listed on the Subprocessor List, and it may connect to tools your School uses. A connection stays off until it is configured. Third-party services have their own terms.

10. Availability and changes

We work to keep the Service available. We do not promise that it will be uninterrupted or error-free, and we make no uptime commitment except one written into a School Agreement. We may change or discontinue features. If a change materially reduces a paid feature, we tell you in advance and you may cancel for a pro-rated refund of prepaid fees for the unused period.

11. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you materially breach these Terms or our policies, if you are under 14, if the law requires it, or if your School's agreement ends. After termination we handle information as the Privacy Policy, the Data Retention and Deletion Schedule, and any School Agreement describe. Sections 5, 6, 8, and 12 through 19 survive, including Section 17 for users it binds.

12. Disclaimers

To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. Some places do not allow these exclusions, so they may not apply to you. Nothing in these Terms limits rights that consumer-protection law says cannot be waived.

13. Limitation of liability

To the extent the law allows, Fluentix is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for claims relating to the Service is limited to the amounts you paid us in the 12 months before the claim. These limits do not apply where the law does not allow a limit, including liability for fraud, or for death or personal injury caused by negligence where that rule applies. There is no separate dollar cap.

14. Indemnity

If you use the Service in breach of these Terms or the law, you agree to defend and indemnify Fluentix against resulting third-party claims. This section does not apply to consumers where it is prohibited, to minors, or to public schools that cannot give an indemnity. For a School, the School Agreement governs.

15. Export and sanctions

You may not use the Service where U.S. law prohibits it, or if you are on a U.S. sanctions list.

16. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules, and by applicable U.S. federal law. The arbitration agreement in Section 17 is governed by the Federal Arbitration Act.

  • Consumers outside the United States keep the protection of mandatory laws of their country of residence. Consumers in the EU or the UK may bring claims in their home courts.
  • If a public School must use its own state's or country's law, the School Agreement governs.

17. Disputes

This Section 17 does not bind a user under 18. A parent or guardian is not agreeing to arbitration for that minor by allowing the minor to use the Service. This Section also does not apply where the law does not allow pre-dispute arbitration or a class-action waiver, including where that is the rule for consumers in the EU or the UK.

17.1 Informal resolution first

Before starting arbitration or a small-claims case, the party with a claim emails the other a short description of the claim and the relief sought. Notices to Fluentix go to support@fluentix.ai. Notices to you go to your account email. Both parties will try in good faith for 30 days to resolve it. Time limits for bringing claims are paused during this period.

17.2 Agreement to arbitrate

Except as stated in this Section 17, you and Fluentix agree that a dispute arising out of these Terms or the Service will be resolved by binding individual arbitration, not in court, if you are 18 or older and the law allows it. There is no judge or jury in arbitration, and court review of an award is limited.

17.3 Rules

The arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect, before a single arbitrator. Hearings take place by video or telephone, or on documents only, unless the arbitrator decides that an in-person hearing is needed. Fees are allocated as those consumer rules provide. Fluentix pays any fees those rules assign to the business. The arbitrator may award the same individual relief a court could, but only to you individually.

17.4 Small-claims court

Either party may instead bring an individual claim in small-claims court where you live, or in St. Johns County, Florida, if the claim qualifies and stays individual.

17.5 Class-action waiver

You and Fluentix may bring claims against each other only as individuals, not as a plaintiff or class member in a class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over a class proceeding. If this waiver is unenforceable for a particular remedy, that remedy is decided in court and the rest of this Section still applies to claims the law allows to be arbitrated.

17.6 No batching

Fluentix does not delay a person's claim by grouping it with other people's claims. Each claim is handled on its own.

17.7 Exceptions

Either party may go to court for an individual small claim, for a claim to stop infringement or misuse of intellectual property, or for public injunctive relief where the law does not allow that remedy to be waived or arbitrated.

17.8 30-day opt-out

If you are 18 or older, you may opt out of this arbitration agreement by emailing support@fluentix.ai from your account email, with the subject "Arbitration Opt-Out" and your name, within 30 days after you first accept these Terms. Opting out does not affect any other part of these Terms. An earlier opt-out stays in effect.

17.9 Where arbitration is not allowed

This Section does not apply where the law prohibits it.

17.10 Courts

A dispute that is not arbitrated will be brought in the state courts in St. Johns County, Florida, or the U.S. District Court for the Middle District of Florida, and you and Fluentix consent to that venue, except that an EU or UK consumer may also sue in the courts of their home country.

17.11 Schools

This Section applies to individual users. A School Agreement may set its own dispute, governing-law, and venue terms, and those terms override this Section for that institution. A student or teacher using Fluentix through a School is not bound by this Section while under 18. An adult user remains bound unless the School Agreement says otherwise or the law prohibits it.

17.12 Changes

A change to this Section does not apply to a dispute that either party already noticed. If a future change is material, you may reject it by emailing support@fluentix.ai within 30 days, and the version you last accepted continues to apply.

17.13 Survival

This Section survives the end of your account and these Terms, for users it binds.

18. General

These Terms, the policies named in Section 1, and any School Agreement are the entire agreement on this subject. If a provision is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in a merger or sale, subject to our commitments about student information. Notices to us go to support@fluentix.ai. Notices to you go to your account email.

19. Changes to these Terms

We may update these Terms. We post the new version with a new date and, for a material change, give at least 30 days of notice by email or in the Service. If you keep using the Service after the effective date, you accept the changes. If you do not agree, stop using the Service and cancel. We refund prepaid fees for the unused period if a change materially harms you.
